These Terms and Conditions ("Terms") govern your use of the whatsadpro.in website ("Website"), our bulk WhatsApp marketing software ("Software"), and any related digital marketing services ("Services") provided by WhatsAdPro ("we," "us," or "our"). By accessing our Website, registering for an account, or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these terms, you must not use our Services. 1. Definitions "Service(s)" refers to the SaaS platform for bulk WhatsApp marketing, digital marketing consultancy, and any other offerings by WhatsAdPro. "User," "You," "Your" refers to the individual or business entity that has registered for an account or is using our Services. "Content" means any information, text, images, videos, or other materials that you send, upload, or transmit through our Services. 2. User Accounts Eligibility: You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. Account Security: You are solely responsible for safeguarding your account password and for any activities or actions under your account. Violate, or encourage others to violate, the official terms of service or policies of WhatsApp. We have a zero-tolerance policy for spam and abusive practices. Violation of this policy will result in immediate suspension or termination of your account without a refund. We reserve the right to monitor campaigns to ensure compliance. 4. Fees, Payment, and Subscription Billing: You agree to pay all applicable fees for the Services as described on our pricing page. Services are billed on a subscription basis (e.g., monthly, annually). Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard or by contacting our support team. Payment Method: A valid payment method is required to process the payment for your subscription. Taxes: All fees are exclusive of applicable taxes, including GST, which will be added to your invoice as per Indian law. Refunds: All payments are non-refundable, except as required by law or as explicitly stated in a separate agreement. 5. Intellectual Property Our Property: We own all rights, titles, and interests in and to the Software, Website, and Services, including all related intellectual property rights. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT MESSAGE DELIVERY WILL BE 100% SUCCESSFUL. 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHATASADPRO, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. 10. Indemnification You agree to defend, indemnify, and hold harmless WhatsAdPro and its employees, directors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Service or your violation of these Terms. 11. Governing Law and Dispute Resolution These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
